1. Description of Service
KretaNote provides a multi-tenant Customer Relationship Management (CRM) platform designed to integrate with the WhatsApp Business API. Our services include message management, contact organization, and automation tools ("the Service").
2. The Meta Relationship & WhatsApp Policies
By connecting a WhatsApp Business Account (WABA) to KretaNote via the Embedded Signup flow, you acknowledge and agree that:
- Third-Party Terms: You are bound by Meta’s WhatsApp Business Terms of Service and WhatsApp Business Policy. Any violation of Meta's policies may result in the immediate suspension of your KretaNote account.
- Account Ownership: You maintain ownership of your WABA. KretaNote acts only as a technical service provider ("Tech Provider") to facilitate messaging.
- API Limits: KretaNote is not responsible for message delivery failures caused by Meta’s rate limits, quality rating drops, or account bans.
3. Billing and Payments
3.1 Subscription Fees
You agree to pay the monthly or annual subscription fees for the KretaNote platform as selected during signup. All fees are non-refundable unless otherwise stated.
3.2 WhatsApp Messaging Costs
- Direct Billing: Unless otherwise specified, you are responsible for adding a payment method to your own Meta Business Account to cover per-message charges levied by Meta.
- Prepaid Credits: If using KretaNote’s shared credit line, you must maintain a positive "Wallet Balance." If your balance reaches zero, outbound messaging will be paused automatically.
- Price Changes: Meta updates its messaging rates periodically. KretaNote reserves the right to pass through any price increases from Meta immediately.
4. Acceptable Use & Anti-Spam
KretaNote has a zero-tolerance policy for spam. You agree not to:
- Send unsolicited marketing messages (Spam).
- Use the Service for any fraudulent, deceptive, or illegal activities.
- Distribute "General-Purpose AI" bots that do not provide specific business utility, as per Meta’s 2026 guidelines.
- Harvest phone numbers without explicit user consent (Opt-in).
5. Data Privacy and Security
- Data Processing: We process your customer data (messages, contact info) according to our Privacy Policy. You are the Data Controller; KretaNote is the Data Processor.
- End-User Privacy: You are responsible for ensuring you have the legal right to message your contacts under applicable laws (e.g., GDPR, CCPA).
- Security: You are responsible for maintaining the confidentiality of your KretaNote login credentials and for all activities that occur under your account.
6. Limitation of Liability
To the maximum extent permitted by law, KretaNote shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:
- Loss of profits or data.
- Service interruptions caused by Meta’s API downtime.
- Suspension of your WhatsApp number by Meta for policy violations.
7. Termination
- By You: You may cancel your subscription at any time via the billing portal.
- By KretaNote: We reserve the right to terminate or suspend access to our Service immediately, without prior notice, if you breach these Terms or if Meta directs us to do so.
8. Modifications to Service
KretaNote is constantly evolving. We reserve the right to modify or discontinue features to comply with Meta’s API updates or to improve the platform. We will provide 30 days' notice for any significant changes to our pricing or core services.
